Welcome to VoiceLocal. These Terms of Service ("Terms") govern your access to and use of the VoiceLocal macOS application and its companion browser extension (together, the "Software"), provided by [YOUR LEGAL BUSINESS NAME / "we," "us," "our"].

By downloading, installing, or using the Software, you agree to be bound by these Terms. If you do not agree, do not download or use the Software.

1. What VoiceLocal Does

VoiceLocal is a dictation tool for macOS that converts your speech to text and inserts it into applications you're using (such as code editors, chat apps, and browsers), using a companion Chrome extension to communicate between the desktop app and your browser.

By default, speech transcription runs entirely on your device. You may optionally enable a cloud-based text formatting feature that sends transcript text to a third-party AI provider using an API key you supply yourself — this is off unless you turn it on.

2. License to Use

Subject to these Terms and any applicable payment, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, for your personal or internal business use.

You may not:

  • Reverse engineer, decompile, or disassemble the Software, except where applicable law expressly permits it
  • Resell, sublicense, rent, or distribute the Software without our written permission
  • Use the Software to build a competing product
  • Remove or obscure any proprietary notices in the Software

3. Accounts, Licensing, and Payment

Certain features of VoiceLocal may require a paid license, processed through our payment provider (Stripe). By purchasing a license, you agree to provide accurate billing information and authorize us to charge the applicable fees. All fees are non-refundable except as required by law or as otherwise stated at the time of purchase.

We reserve the right to change pricing for future purchases at any time. Changes will not retroactively affect a license you've already purchased.

4. System Permissions

To function, VoiceLocal requires certain macOS system permissions, including:

  • Microphone access, to capture your speech for transcription
  • Accessibility access, to insert transcribed text into other applications on your behalf

You can review or revoke these permissions at any time in macOS System Settings. Revoking them will prevent the Software from functioning as intended.

5. Acceptable Use

You agree not to use the Software to:

  • Violate any applicable law or regulation
  • Transcribe or inject content that infringes on the rights of others, is unlawful, harassing, or fraudulent
  • Attempt to gain unauthorized access to any system or network connected to the Software
  • Interfere with or disrupt the integrity or performance of the Software

6. Third-Party Services

If you choose to enable cloud-based formatting, transcript text is sent to the applicable third-party AI provider using your own API key, subject to that provider's own terms and privacy practices. We are not responsible for the third party's handling of your data. Review their terms directly before enabling this feature.

7. Disclaimers

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT TRANSCRIPTION WILL BE ACCURATE, ERROR-FREE, OR UNINTERRUPTED.

You are responsible for reviewing any text inserted by the Software before relying on it, particularly in professional, legal, medical, or otherwise sensitive contexts.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, [YOUR LEGAL BUSINESS NAME] SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

9. Termination

We may suspend or terminate your access to the Software at any time if you violate these Terms. You may stop using the Software at any time by uninstalling it. Sections of these Terms that by their nature should survive termination (including Sections 7, 8, and 11) will survive.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above and, where appropriate, provide additional notice. Continued use of the Software after changes take effect constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of [YOUR STATE], without regard to its conflict-of-laws principles, unless otherwise required by applicable law.
